Summary

In this document we describe a new activity to be jointly organized by a non governmental organization (hereinafter NGO), Garden of Eden Urban Farming Inc. (GOEUF), hereinafter ORGANIZERS and one or more investors, hereinafter INVESTOR(s). The purposes of the new activity is training in urban, vertical gardening and the production of local, healthy, fresh vegetables for sale in the central Puget Sound area.

The systems to be used are already in operation and produce is being delivered. Our twin objectives are expansion of our training effort and the scale of production. We believe the project offers a path to regular income for NGO, providing successive management with sustainability that is not dependent on seeking temporary grants from individuals, other NGOs or governments.

The Business Model

ORGANIZERS will conduct training and production in a facility to be within NGO’s service area. INVESTORS will purchase shares in a new business entity—working name NEWCO—to be created for this purpose. GOEUF will be the majority owner and will supervise operations, and INVESTORS will be minority shareholders in NEWCO.

NGO will be a designated beneficiary of a donation program to be created under NEWCO’s by-laws, whereby a percentage of net income will be donated to NGO. To achieve these goals, NGO will enter into a service agreement with Garden of Eden Urban Farming Inc., a Washington State corporation that provides technology and training services. The project will operate under the NGO banner.
